These terms govern your use of the Chedi Axis website and the provision of consulting services by Chedi Axis Co., Ltd. Please read them carefully. If you have questions about any section, you are welcome to contact us before proceeding.
1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Chedi Axis", "we", "our", or "us" refers to Chedi Axis Co., Ltd., a company registered under Thai law with its registered address at 53 Narathiwat Ratchanakharin Road, Yan Nawa, Bangkok 10120.
- "Client", "you", or "your" refers to the individual, company, or organization engaging Chedi Axis for consulting services, or using this website.
- "Engagement" refers to a specific consulting project agreed between Chedi Axis and a Client, governed by a Scope of Work document.
- "Scope of Work" refers to the written document specifying the deliverables, timeline, fees, and working methods for a particular engagement.
- "Deliverables" refers to the written reports, frameworks, plans, and other documents produced by Chedi Axis as outputs of an engagement.
- "Website" refers to the Chedi Axis website at chedi-axis.biz and all associated pages.
- "Services" refers collectively to all consulting services offered by Chedi Axis, including Vendor and Supplier Rationalization, Middle Management Development Diagnostic, and Post-Acquisition Integration Planning.
2. Acceptance of Terms
By accessing or using this Website, or by entering into a consulting engagement with Chedi Axis, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not have such authority, or if you do not agree with these terms, you should not proceed with engaging our services or using this Website.
These Terms and Conditions apply alongside any Scope of Work document agreed for a specific engagement. In the event of any conflict between these Terms and a Scope of Work, the terms of the Scope of Work shall take precedence in respect of the matters it addresses.
3. Services Description
Chedi Axis offers structured business consulting engagements to organizations operating in Thailand and the wider Southeast Asian region. Current service offerings include:
- Vendor and Supplier Rationalization — A 3-week procurement-focused review resulting in a supplier matrix, tiered recommended actions, and a negotiation preparation guide. Priced at ฿6,800.
- Middle Management Development Diagnostic — A 5-week assessment covering skills gap analysis, 360-degree input, and individual development profiles. Priced at ฿18,600.
- Post-Acquisition Integration Planning — A 10-week integration support engagement delivering a phased integration plan, cultural roadmap, synergy tracking framework, and stakeholder communication playbook. Priced at ฿39,000.
The specific scope, deliverables, and timeline for each engagement are confirmed in writing through a Scope of Work document prior to commencement. Prices listed are indicative and may be adjusted in the Scope of Work to reflect the specific requirements of the engagement.
Chedi Axis reserves the right to modify or discontinue service offerings at any time. Any modifications will not affect engagements already confirmed by a signed Scope of Work.
4. Engagement Process & Scoping
All consulting engagements follow a structured process:
- Initial Enquiry: The Client contacts Chedi Axis via the Website contact form or by telephone to express interest in an engagement.
- Introductory Call: A brief preliminary conversation to discuss the Client's situation, the relevant service, and whether the engagement appears to be a suitable fit.
- Scoping Session: A more detailed working session during which Chedi Axis and the Client agree on the specific deliverables, timeline, team involvement, working methods, and fees. A Non-Disclosure Agreement is typically signed at or before this stage.
- Scope of Work Agreement: Chedi Axis prepares and issues a written Scope of Work document. The engagement formally commences upon the Client's written acceptance of this document and receipt of any applicable deposit.
- Engagement Delivery: Work proceeds according to the agreed Scope of Work, with regular progress check-ins as specified.
- Handover: The engagement concludes with a formal handover session covering all deliverables. A follow-up conversation is scheduled approximately 30–60 days later.
No consulting work commences without a signed Scope of Work. Chedi Axis reserves the right to decline an engagement at any stage prior to the signing of a Scope of Work without providing reasons.
5. Fees & Payment
Fees for each engagement are specified in the relevant Scope of Work. Indicative fees are published on this Website and are denominated in Thai Baht (฿). All fees are exclusive of VAT and any applicable taxes unless stated otherwise.
Payment terms are specified in the Scope of Work and typically include:
- A deposit of 50% of the total engagement fee, payable before work commences.
- The remaining 50% payable upon completion of the engagement and formal handover of deliverables.
Alternative payment structures may be agreed in the Scope of Work for longer engagements. Invoices are issued in Thai Baht. Payment is accepted by bank transfer to the Chedi Axis account specified on each invoice.
Where a Client fails to make payment within the terms set out in the Scope of Work, Chedi Axis reserves the right to suspend or terminate work. Outstanding amounts may attract late payment charges at the rate specified in the applicable Scope of Work, or where no rate is specified, at the statutory rate applicable under Thai law.
Expense reimbursements — where applicable — will be itemized separately and supported by receipts. No expenses above ฿500 will be incurred without prior written approval from the Client.
6. Confidentiality
Chedi Axis treats all information shared by Clients as confidential by default, and a Non-Disclosure Agreement is signed before the exchange of any sensitive business information.
Chedi Axis will not disclose Client confidential information to third parties except:
- With the Client's prior written consent;
- Where required by law or a regulatory authority;
- To advisors, sub-contractors, or associates engaged in delivery of the engagement, who are themselves bound by equivalent confidentiality obligations.
The Client agrees to treat as confidential any proprietary methodologies, frameworks, or tools disclosed by Chedi Axis in the course of an engagement, and will not reproduce, share, or commercialize such materials without prior written consent from Chedi Axis.
Confidentiality obligations survive the termination of any engagement for a period of three (3) years, or such longer period as may be specified in the relevant Non-Disclosure Agreement.
Where a management development diagnostic produces individual profiles, those profiles are delivered confidentially to the individual concerned unless the individual provides written consent for their disclosure to a third party (such as their employer).
7. Intellectual Property
All intellectual property rights in Deliverables produced during an engagement vest in Chedi Axis upon creation, and are licensed to the Client on the following basis:
- The Client receives a non-exclusive, perpetual, royalty-free licence to use the Deliverables for internal business purposes only.
- The Client may not reproduce, distribute, publish, sell, or sub-licence the Deliverables, or any part of them, to third parties without prior written consent from Chedi Axis.
The Client retains ownership of all data, documents, and materials provided to Chedi Axis for the purposes of the engagement. The Client grants Chedi Axis a limited licence to use such materials solely for delivery of the engagement.
Chedi Axis retains the right to reference the nature (but not the content) of engagements completed for marketing and business development purposes, provided this does not identify the Client or disclose confidential information, unless the Client expressly consents to being named as a reference.
All content on this Website, including text, design, logos, and visual elements, is owned by or licensed to Chedi Axis. Reproduction or use of Website content without written permission is not permitted.
8. Client Responsibilities
The quality and usefulness of our work depends in part on the Client's active participation. The Client agrees to:
- Provide accurate, complete, and timely information, data, and access reasonably requested by Chedi Axis for delivery of the engagement;
- Nominate a primary contact person with appropriate authority and availability to facilitate the engagement;
- Cooperate in scheduling meetings, interviews, and review sessions within the agreed timeline;
- Notify Chedi Axis promptly of any material change in circumstances that may affect the engagement;
- Ensure that any third-party consents required for the disclosure of information to Chedi Axis have been obtained.
Where delays or reduced quality in Deliverables result from the Client's failure to fulfill these responsibilities, Chedi Axis will not be held liable for those outcomes. Any necessary timeline extensions will be agreed in writing.
9. Limitation of Liability
Chedi Axis provides professional consulting advice based on analysis of the information available during the engagement. Consulting recommendations are advisory in nature. The Client retains full responsibility for any decisions made based on Chedi Axis Deliverables.
To the fullest extent permitted by Thai law, Chedi Axis's total aggregate liability to a Client arising from or in connection with any engagement shall not exceed the total fees paid by the Client for that specific engagement.
Chedi Axis shall not be liable for:
- Indirect, consequential, or incidental losses;
- Loss of revenue, profit, contracts, data, or goodwill;
- Losses arising from reliance on information provided by third parties or the Client;
- Losses caused by events outside Chedi Axis's reasonable control, including force majeure events.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under Thai law.
10. Cancellation & Termination
Either party may terminate an engagement by providing written notice. The following conditions apply:
- Cancellation before commencement: If the Client cancels after signing the Scope of Work but before work commences, any paid deposit is forfeited to cover pre-engagement planning costs, unless otherwise agreed in writing.
- Cancellation during the engagement: If the Client cancels after work has commenced, payment is due for all work completed up to the date of cancellation, calculated on a pro-rata basis against the total engagement fee.
- Termination by Chedi Axis: Chedi Axis may terminate an engagement if the Client materially breaches these Terms or the Scope of Work and fails to remedy that breach within 14 days of written notice. In such cases, payment is due for all work completed to date.
- Mutual agreement: Both parties may agree in writing to vary, extend, or terminate an engagement on terms mutually agreed.
Upon termination, each party will return or securely destroy the other's confidential materials, and all intellectual property licences granted will remain in force for Deliverables already delivered.
11. Website Use
You may use this Website for lawful purposes only. You agree not to:
- Use the Website in any way that may damage, disable, overburden, or impair it;
- Attempt to gain unauthorized access to any part of the Website or its underlying systems;
- Transmit any unsolicited or unauthorized advertising or promotional material;
- Use automated tools to scrape, copy, or harvest data from this Website;
- Introduce malicious code, viruses, or other harmful material.

12. Dispute Resolution
In the event of a disagreement arising from or in connection with these Terms or any engagement, the parties agree to first attempt to resolve the matter through good-faith discussion between senior representatives of each party.
If the dispute is not resolved within 30 days of written notification, either party may refer the matter to mediation conducted in accordance with the rules of the Thailand Arbitration Center (THAC), or such other mediation body as the parties agree.
If mediation is unsuccessful, the dispute shall be finally resolved through arbitration in Bangkok, Thailand, conducted in the English language, under applicable Thai arbitration rules. The decision of the arbitrator shall be final and binding.
These Terms and any engagement between Chedi Axis and a Client are governed by and construed in accordance with the laws of the Kingdom of Thailand.
13. Amendments
Chedi Axis may update these Terms and Conditions from time to time. The current version will always be accessible on this Website and will display the date of the most recent revision.
Changes to these Terms do not affect engagements already confirmed under a signed Scope of Work, which remains governed by the Terms in effect at the time of signing unless both parties agree otherwise in writing.
Continued use of this Website after updates are published constitutes acceptance of the revised Terms. We encourage you to review this page periodically if you use the Website regularly.
